1. Introduction
These Terms of Service ("Terms") govern your use of the Compliance Autopilot platform ("Service"), operated by [Company Name] ("we", "us", "our"), a company registered in England and Wales.
By creating an account or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organisation, you represent that you have the authority to bind that organisation.
2. Service Description
Compliance Autopilot is a software-as-a-service platform that assists regulated professional services firms in generating, managing, and delivering compliance documentation. The Service includes document generation, prospect management, client portals, regulatory monitoring, and related tools.
3. Account Registration
To use the Service, you must create an account providing accurate and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activities conducted under your account. You must notify us immediately of any unauthorised use.
4. Subscription and Payment
The Service offers subscription plans as described on our pricing page. Paid subscriptions are billed monthly in advance. All prices are in GBP and exclusive of VAT where applicable.
Payment is processed through Stripe. By subscribing, you authorise recurring charges to your chosen payment method. You may cancel at any time; cancellation takes effect at the end of the current billing period.
5. Use of Generated Documents
Documents generated by the Service are templates and drafts intended to assist qualified professionals. They do not constitute legal, financial, or regulatory advice. You are responsible for reviewing, customising, and ensuring the accuracy and suitability of all generated content for your specific circumstances and regulatory obligations.
We do not warrant that generated documents will satisfy the requirements of any specific regulatory body, and you should seek independent professional advice where appropriate.
6. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose
- Attempt to gain unauthorised access to any part of the Service
- Resell or redistribute generated documents as a competing service
- Introduce malicious code or interfere with the Service's operation
- Exceed usage limits applicable to your subscription plan
7. Intellectual Property
The Service, its software, design, and branding are our intellectual property. Your subscription grants you a limited, non-exclusive, non-transferable licence to use the Service for your internal business purposes. Documents generated for your firm become your property upon generation, subject to any underlying template intellectual property rights retained by us.
8. Data Protection
We process personal data in accordance with our Privacy Policy and applicable UK data protection legislation including the UK GDPR and Data Protection Act 2018. Where you upload or input personal data of your clients or employees, you act as the data controller and we act as the data processor.
9. Limitation of Liability
To the maximum extent permitted by law, our total liability under these Terms shall not exceed the fees paid by you in the 12 months preceding the claim. We shall not be liable for indirect, consequential, or incidental losses, loss of profits, or loss of data.
Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded by law.
10. Availability and Support
We endeavour to maintain the Service's availability but do not guarantee uninterrupted access. We may perform scheduled maintenance with reasonable notice. Support is provided via email during business hours.
11. Termination
Either party may terminate these Terms by giving 30 days' written notice. We may suspend or terminate your account immediately if you breach these Terms. Upon termination, your access to the Service ceases and your data will be retained for 30 days before deletion, unless a longer period is required by law.
12. Changes to Terms
We may update these Terms from time to time. Material changes will be communicated via email or in-app notification at least 14 days before taking effect. Continued use after changes take effect constitutes acceptance.
13. Governing Law
These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
